These Terms of Service (“Terms”) govern your access to and use of Localio, including our websites, applications, accounts, reviews, ratings, recommendation metrics, discussions, questions, answers, replies, comments, comparisons, alternatives, rankings, category pages, Business profiles, and other content, features, functionality, and services that we make available (collectively, the “Services”).

IMPORTANT NOTICE FOR USERS IN THE UNITED STATES: SECTIONS 91–95 CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION, COLLECTIVE-ACTION, AND REPRESENTATIVE-ACTION WAIVER. By creating an account, registering or acting for a Business, submitting content, or otherwise using the Services, you agree to these Terms to the extent permitted by applicable law.
If you do not agree to these Terms, do not create an account or use the Services.
Nothing in these Terms excludes, restricts, waives, or replaces any right, remedy, protection, guarantee, jurisdiction, or other legal entitlement that applicable law does not permit you to waive, restrict, exclude, or replace.
Localio is an independent research, review, discussion, and comparison platform designed to help people research businesses, brands, products, software, platforms, and services.
Localio may provide or display, among other things:
For purposes of these Terms, “Business” means any company, organization, provider, brand, product, software application, platform, service, or other entity listed, reviewed, rated, compared, discussed, or otherwise referenced through Localio.
Unless expressly stated otherwise, Legalio24 LLC does not sell, provide, operate, endorse, warrant, or guarantee third-party products or services listed on Localio and is not a party to transactions between users and Businesses.
You must be at least 18 years old to create a Localio account or submit reviews, ratings, recommendations, discussions, questions, answers, replies, votes, comments, Business responses, or other User Content.
By creating an account or contributing to Localio, you represent and warrant that:
Localio may rely on your representation that you satisfy the applicable age requirement unless applicable law requires additional measures.
The fact that account creation and contribution features are restricted to persons aged 18 or older does not constitute a representation that Localio has independently verified the age of every user or visitor unless Localio expressly states otherwise.
If you use Localio on behalf of a Business, company, organization, or other legal entity, you represent and warrant that you have authority to act for that entity in connection with the activities you perform.
Certain features may require an account.

We may use authentication, email verification, fraud detection, verification, rate limiting, security, abuse-prevention, or other measures that we consider appropriate.
Subject to applicable law, we may refuse account registration, restrict account functionality, require additional information, or decline to maintain an account where we reasonably consider doing so appropriate.
Localio may provide verification indicators, labels, badges, or similar information concerning accounts, users, Business representatives, reviews, Businesses, or other content.
The meaning of a verification indicator is limited to the particular verification process described by Localio.
For example, an “Email verified” indicator means that Localio has taken steps to verify control of or access to the applicable email address. It does not, by itself, mean that Localio has verified the user’s identity, purchase, use of a Business, transaction, statements, review, experience, employment, professional qualifications, or other claims.
Similarly, verification of a Business account or representative means only what Localio states the applicable verification process establishes. It does not constitute an endorsement, certification, guarantee, or verification of all information or statements made by the Business or representative.
Localio may establish, modify, suspend, or discontinue verification programs and their criteria at any time, subject to applicable law.
No verification process eliminates the possibility of fraud, impersonation, inaccurate information, or misuse.
“User Content” includes reviews, ratings, recommendations, votes, discussion posts, questions, answers, replies, comments, images, profile information, Business responses, and other material submitted by users, Businesses, Business representatives, or other contributors.
For purposes of these Terms, references to User Content include content submitted by a Business or Business representative unless the context expressly indicates otherwise.
You retain ownership of intellectual property rights that you lawfully own in your User Content.
By submitting User Content, you grant Legalio24 LLC a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable and transferable license to host, store, reproduce, display, publish, distribute, communicate, format, adapt, translate, excerpt, index, categorize, analyze, summarize, aggregate, promote, and otherwise process and use that User Content in connection with Localio, the Services, their operation, improvement, protection, promotion, distribution, and development, subject to applicable law.
Without limiting the foregoing, this license permits us to use User Content to:
This license does not transfer ownership of your User Content to Legalio24 LLC.
To the extent permitted by applicable law, the license continues for material already incorporated into Localio, aggregated or anonymized information, backups, legal records, and uses reasonably necessary to operate or protect the Services after deletion of the original contribution or account.
Where applicable law gives you rights that cannot be waived, those rights remain unaffected.
You are responsible for User Content that you submit.
This applies equally to individual users, Businesses, and Business representatives.
By submitting User Content, you represent and warrant, to the extent applicable, that:
Nothing in this section makes you responsible for matters for which applicable law does not permit liability to be imposed.
User Content is provided by users, Businesses, Business representatives, or other contributors and represents their respective statements, opinions, experiences, allegations, questions, answers, or views.
To the maximum extent permitted by applicable law, the fact that Localio hosts, publishes, displays, organizes, indexes, translates, summarizes, labels, ranks, moderates, reviews, removes, restores, distributes, promotes, excerpts, or otherwise processes User Content does not mean that Legalio24 LLC authored, adopted, endorsed, verified, guaranteed, or agreed with statements contained in that User Content.
A Business response, answer, discussion contribution, or other statement displayed as originating from a Business or Business representative is the content of that contributor and not a statement by Legalio24 LLC.
Moderation, translation, summarization, organization, promotion, or presentation of User Content does not by itself convert that content into a statement made by Legalio24 LLC.
Nothing in these Terms is intended to waive, diminish, or limit any immunity, defense, privilege, safe harbor, limitation of liability, intermediary protection, hosting protection, or other statutory or common-law protection that may be available to Legalio24 LLC under any applicable law.
For activities occurring within the scope of United States law, this includes, where applicable, protections available under 47 U.S.C. § 230 and 17 U.S.C. § 512.
For activities occurring in other jurisdictions, Legalio24 LLC reserves and may rely upon any corresponding or additional protections available to intermediary services, hosting providers, online content hosts, online platforms, information society services, publishers, distributors, service providers, or comparable entities.
The availability and scope of any protection are determined by applicable law and relevant facts and are not created, waived, expanded, or limited solely by these Terms.
Localio may, but except where applicable law requires otherwise is not obligated to, use moderation, authenticity checks, verification procedures, fraud detection, or other safeguards in relation to particular contributions.
Unless we expressly state otherwise for a particular contribution, Localio does not represent that every review, rating, discussion, question, answer, reply, Business response, user identity, Business representative, experience, recommendation, or factual allegation has been independently verified by Legalio24 LLC.
Localio does not guarantee that every contribution is genuine, complete, accurate, current, representative, or free from manipulation.
Users should evaluate User Content critically and make their own decisions.
Content submitted to public portions of Localio may be publicly accessible.
Public User Content may:
Do not submit information that you do not wish to make public.
Subject to applicable law, deleting your account does not necessarily require Localio to delete every public contribution. We may retain, anonymize, aggregate, archive, or disassociate content and related records where permitted by law.
Reviews, ratings, and recommendations that purport to describe personal experiences must reflect genuine experiences or honestly held opinions.
When submitting such content, you represent that:
A purchase is not necessarily required to have a genuine experience with a Business. A genuine experience may include dealing with customer support, using a free trial, attempting to cancel, interacting with a sales process, using a free service, or otherwise legitimately interacting with the Business.
This genuine-experience requirement applies to reviews and other contributions that purport to describe a contributor’s personal experience. It does not mean that every participant in a discussion must have personally purchased or used the Business being discussed.
Localio discussions are intended to permit broader exchange of information, questions, experiences, opinions, research, and knowledge.
Subject to these Terms and applicable Localio policies, a person may participate in a discussion without having purchased from or personally used the Business being discussed.
For example, users may:
Contributors must not falsely present research, assumptions, third-party information, or speculation as their own personal experience.
Material factual statements should have a reasonable basis, and contributors remain responsible for complying with these Terms and applicable law.
Localio prohibits attempts to artificially or deceptively influence the Services.
You may not:
Localio may investigate suspicious activity using automated systems, artificial intelligence, behavioral signals, technical information, manual review, and other methods.
Nothing in these Terms requires Localio to investigate or authenticate every review, reviewer, rating, recommendation, discussion, answer, Business response, or contribution unless applicable law imposes such an obligation.
Legalio24 LLC may establish and maintain policies, systems, procedures, and enforcement measures intended to protect the integrity of reviews, ratings, recommendations, discussions, and related content.
Subject to applicable law, Localio does not intend to create, purchase, procure, sell, or knowingly disseminate fake or false consumer reviews or testimonials in circumstances prohibited by applicable law.
Localio does not condition compensation or incentives that it provides for consumer reviews on the review expressing a required positive or negative sentiment where such conduct is prohibited by applicable law.
Where Localio itself solicits or facilitates incentivized reviews, Localio may require disclosures, labels, eligibility restrictions, exclusions from aggregate metrics, or other safeguards appropriate to the circumstances and applicable law.
Localio may require users, Businesses, employees, contractors, agents, affiliates, or other persons to disclose material relationships where disclosure is required by law or Localio policy.
Subject to applicable law, Localio may moderate, organize, rank, filter, investigate, remove, restrict, label, or otherwise process contributions based on legitimate criteria including relevance, authenticity, duplication, spam, fraud, manipulation, policy compliance, legal compliance, usefulness, recency, integrity, or other appropriate factors.
Localio does not intend to suppress legitimate negative reviews merely because they are negative or unfavorable.
Nothing in this section:
Localio may modify its review-integrity policies, technologies, criteria, and procedures as appropriate, subject to applicable law.
Localio is designed to provide a forum for genuine experiences, opinions, questions, answers, and discussion.
Accordingly, Localio generally does not remove or restrict a review or other legitimate community contribution merely because a Business or another person:
Negative opinions, criticism, disagreement, and unfavorable experiences are not by themselves violations of Localio’s rules.
Localio may remove, restrict, disable, label, exclude, or otherwise act upon content where Localio determines or reasonably believes that there is an appropriate basis under:
Localio may also act on content at the contributor’s valid request where appropriate or required by applicable law.
Nothing in this section guarantees permanent publication of any particular contribution or prevents Localio from taking action required by law or reasonably necessary to operate, secure, maintain, or protect the Services.
Where we suspect or identify manipulation, fraud, abuse, artificial activity, policy violations, or other conduct that may undermine the integrity of Localio, we may, subject to applicable law, take any measures we consider appropriate.
Such measures may include:
Localio is not required to disclose fraud-detection, ranking-integrity, abuse-prevention, or enforcement methods where doing so could undermine their effectiveness, except where applicable law requires disclosure.
Business owners, executives, employees, contractors, agencies, affiliates, marketing firms, reputation-management providers, family members, competitors, and other persons with a material connection to a Business may not deceptively present themselves as independent customers.
Where participation by such persons is permitted, material relationships must be clearly and conspicuously disclosed where required by Localio or applicable law.
Businesses and their representatives may not:
Nothing in this section prevents an authorized Business representative from openly participating as a Business representative through features Localio makes available.
Localio may permit, restrict, exclude, label, or prohibit incentivized reviews in its discretion, subject to applicable law.
Where incentivized reviews are permitted:
Localio may provide discussion features allowing users, Businesses, and Business representatives to ask questions, provide answers, share experiences, exchange opinions, provide information, and respond to one another.
Users and Businesses may disagree strongly with one another.
Criticism and negative opinions are not prohibited merely because they are unfavorable.
A factual disagreement between participants does not, by itself, require Localio to determine which participant is correct or to remove either participant’s contribution.
You may not use discussions, questions, answers, or replies to engage in:
All discussion participants, including Businesses and their representatives, remain responsible for their own contributions.
Localio may offer Businesses, brands, and their authorized representatives the ability to:
These features are offered by Localio and do not constitute guaranteed contractual rights of any Business.
Except where applicable law requires otherwise, no Business has an automatic or contractual right to:
Subject to applicable law, Localio may establish, modify, restrict, suspend, discontinue, or replace Business-account, profile-claiming, response, discussion, verification, or participation features.
Localio may require evidence reasonably sufficient to establish that a person is authorized to represent a Business and may reject, revoke, or reconsider verification or profile access where appropriate.
A person representing a Business must not misleadingly present themselves as an independent user or customer.
Where Localio provides the functionality, an authorized Business representative may be permitted to respond publicly to a review.
Business responses constitute User Content and are subject to these Terms, the Community Guidelines, applicable Localio policies, and applicable law.
Businesses are responsible for their responses.
A Business response must not, among other things:
Providing a Business with an opportunity to respond does not mean that Localio endorses, verifies, adopts, or agrees with the response.
Localio does not guarantee that a Business will be able to respond to every review or that a response feature will remain available.
A Business’s inability to respond, whether temporary or permanent, does not by itself require Localio to remove, restrict, postpone, or alter the corresponding review.
Registration, verification, claiming a profile, responding to reviews, participating in discussions, or using other Business functionality does not give a Business ownership or editorial control over Localio’s independent platform content.
Except where applicable law provides otherwise, a Business does not acquire a right to:
A Business’s decision not to register, claim a profile, verify itself, respond to reviews, or participate in discussions does not prevent Localio from listing, reviewing, rating, comparing, or discussing that Business to the extent permitted by applicable law.
You may not submit content or use Localio in a manner that:
Localio may consider context, including whether material constitutes legitimate criticism, opinion, reporting, public-interest discussion, research, or satire.
Localio may moderate the Services using automated systems, artificial intelligence, spam or fraud detection, behavioral analysis, reports, human review, or other methods.
Localio’s general approach is to permit legitimate reviews, criticism, discussion, questions, answers, and other contributions to remain available rather than remove them merely because another person or Business objects to them.
Subject to applicable law and the principles stated in Section 15, Localio may determine whether, when, and how to investigate or moderate particular content or activity and may take appropriate action where there is a basis under these Terms, applicable Localio policies, applicable law, integrity or safety requirements, or another legitimate platform-operational basis.
Available measures may include:
Localio does not guarantee that moderation will identify every violation or that reported content will be reviewed within any particular period unless applicable law requires otherwise.
Failure to act against one item or user does not waive our right to act against the same or similar material or conduct later.
To the maximum extent permitted by applicable law and subject to Localio’s stated policies and applicable legal obligations, Legalio24 LLC retains discretion regarding moderation, enforcement, investigation, prioritization, methodology, and the measures applied to content, accounts, Businesses, and activity on Localio.
Different cases may produce different outcomes based on context, evidence, severity, history, applicable law, risk, technical information, integrity considerations, safety considerations, or other relevant circumstances.
Nothing in these Terms creates a contractual right to a particular moderation outcome, enforcement action, investigation, response time, level of review, or treatment of another user or Business, except where applicable law expressly provides otherwise.
Localio provides or may provide electronic reporting mechanisms through which users, Businesses, authorities, rights holders, and other persons can report content they believe is illegal or violates Localio policies.
Where applicable law establishes particular requirements for a notice-and-action, takedown, reporting, complaint, or comparable mechanism, Localio may implement and operate the applicable mechanism in accordance with that law.
Where Article 16 of Regulation (EU) 2022/2065 (the “Digital Services Act” or “DSA”) applies, Localio will maintain a notice-and-action mechanism that is easily accessible and user-friendly and that permits notices to be submitted electronically.
A notice concerning allegedly illegal content should, to the extent applicable and reasonably available, include:
Localio may request additional information, clarification, evidence, identification, declarations, or other material where reasonably necessary or legally permitted to evaluate a notice.
The submission of a notice does not by itself establish that the reported content is illegal or violates Localio’s rules, does not automatically require removal, and does not prevent Localio from considering relevant facts, applicable law, rights of affected users, or other available information.
Subject to applicable law, Localio may determine what action, if any, is appropriate in response to a report or notice.
Depending on the circumstances, Localio may:
Submitting a report does not create an automatic contractual right to removal, investigation, response, account action, or any other particular outcome except where applicable law expressly provides otherwise.
Where Article 16 of the DSA applies, Localio will, to the extent required:
Localio may use automated systems to assist with processing notices, subject to applicable legal requirements.
Abusive, fraudulent, repetitive, manipulative, or knowingly false reports may themselves result in restrictions or other measures where permitted by applicable law.
Where Article 17 of the DSA or another applicable law requires Localio to provide a statement of reasons concerning a moderation decision, Localio will provide the affected user or Business with the information required by that law.
This may apply, where legally required, to decisions involving:
A statement of reasons may include, as required and applicable:
Where applicable law does not require reasons, Localio may provide reasons or other information in its discretion.
Nothing requires Localio to disclose information where disclosure is not legally required and could violate law, compromise security, facilitate circumvention or abuse, reveal confidential enforcement methods, interfere with an investigation, disclose protected information, or prejudice another person’s legitimate rights.
Where applicable law requires Localio to notify competent authorities of information giving rise to a legally specified suspicion concerning a criminal offence, threat to life or safety, child exploitation, terrorism, or another serious matter, Localio may make such notification and preserve or disclose relevant information to the extent required or permitted by applicable law.
Nothing in these Terms requires Localio to provide advance notice to an affected user where notice is prohibited by law, would compromise an investigation, create a safety risk, or is otherwise not legally required.
A Business has no automatic right to remove or restrict a review, discussion contribution, question, answer, reply, rating, or other User Content merely because it is negative, critical, unfavorable, embarrassing, commercially damaging, disputed, or unwanted.
Businesses may report content through available reporting mechanisms.
Localio may request evidence or additional information and may determine whether the reported content violates these Terms, the Community Guidelines, another applicable Localio policy, or applicable law.
A Business complaint does not create a contractual right to:
Where content complies with Localio’s applicable rules and no legal or other legitimate basis for action exists, Localio’s general approach is to leave that content available notwithstanding a Business’s objection.
Where a Business and a user, or two or more other participants, disagree about facts, the existence of that disagreement alone is not a basis requiring removal of a review or discussion contribution.
Localio is not a court, arbitrator, fact-finding tribunal, or adjudicator of private factual disputes and is not necessarily able or required to determine which participant’s account is correct.
Subject to applicable law, Localio may:
A Business’s denial of a reviewer’s allegations does not by itself establish that the review is false.
Likewise, publication of a review does not mean that Localio has independently determined that every factual statement in it is true.
Except where applicable law requires otherwise, a complaint, demand letter, allegation, cease-and-desist request, legal threat, assertion of falsity, reputational objection, or assertion by a Business or other person does not by itself require Localio to remove, restrict, modify, or investigate content.
Localio may evaluate requests under applicable law, these Terms, Localio policies, available evidence, and other relevant circumstances.
Nothing in this section prevents Localio from acting promptly where a report establishes or reasonably indicates a violation of Localio’s rules or applicable law.
Where a complaint alleges defamation, false factual statements, unlawful reputational harm, or similar legal violations, Localio may apply procedures available under the law governing the complaint.
Where applicable law provides a mandatory or legally advantageous procedure for website operators, hosting providers, intermediary services, or online content hosts, Localio may process the complaint in accordance with that procedure.
The fact that a statement is disputed, critical, unfavorable, or damaging to reputation does not by itself establish that it is unlawful or requires removal.
Nothing in these Terms guarantees removal, investigation, disclosure, or any other particular outcome merely because a defamation or similar allegation has been made.
Localio may provide processes through which eligible users or Businesses can request reconsideration of certain moderation or other decisions.
Except where applicable law requires otherwise:
Where applicable law mandates a particular complaint-handling, review, appeal, or redress mechanism, Localio will provide that mechanism to the extent legally required.
For as long as Localio qualifies for an exemption from Articles 20 and 21 of the DSA pursuant to Article 19 of the DSA, nothing in these Terms voluntarily subjects Localio to obligations from which it is legally exempt.
If and when Articles 20 or 21 become applicable to Localio, Localio will implement the applicable complaint-handling and out-of-court dispute-settlement requirements, including required information concerning certified out-of-court dispute-settlement bodies.
Nothing in this section limits a person’s right to seek judicial or regulatory remedies where applicable law provides such rights.
Localio may create, maintain, modify, merge, reorganize, suspend, unpublish, or discontinue Business profiles using information from sources including:
A Business profile may exist without:
to the extent permitted by applicable law.
Except where applicable law provides otherwise, no Business has a contractual right to be listed, remain listed, control the structure of its profile, determine which Localio pages reference it, require Localio to publish particular information, require Localio to provide an outbound website link, screenshots, media, pricing, offers, comparison eligibility, alternative placement, promotional or commercial functionality, or prevent Localio from providing community features concerning it.
Business profiles and the features made available in connection with them may differ based on factors Localio determines appropriate, including the completeness, reliability, freshness, or availability of information; user interest; geographic or product availability; Business participation; technical integrations; operational considerations; commercial relationships; affiliate or referral arrangements; advertising or sponsorship arrangements; and other legitimate factors, subject to applicable law.
Localio is not required to provide identical profile content, links, media, pricing, offers, prominence, functionality, placement, eligibility, or commercial features to every Business, and the absence or availability of any such feature does not by itself create or imply a legal or commercial relationship.
Listing, reviewing, rating, comparing, linking to, discussing, permitting a Business to claim a profile, verifying a representative, or permitting a Business to respond to users does not by itself mean that:
Businesses may submit information concerning alleged factual inaccuracies in profile information.
Localio may request evidence, investigate, accept or reject proposed changes, obtain information from other sources, or otherwise determine how information is presented, subject to applicable law.
A correction request does not create a contractual right to:
Localio may correct information on its own initiative at any time.
Business names, trademarks, logos, product names, screenshots, and other third-party identifiers belong to their respective owners.
Where legally permitted, Localio may use such identifiers to identify, describe, compare, discuss, review, reference, or provide information concerning Businesses and their offerings.
Such use does not imply affiliation, sponsorship, approval, authorization, or endorsement.
Localio may calculate and display:
Metrics may change at any time because of:
Unless expressly stated otherwise, metrics are not guarantees, certifications, scientific surveys, statistically representative polls, professional assessments, or promises concerning future performance.
Subject to applicable law, Localio may determine which contributions, signals, periods, or data are included in or excluded from calculations.
Localio may create rankings, lists, recommendations, comparisons, highlights, featured content, search results, category displays, or other ordered or curated presentations.
Subject to applicable law, Legalio24 LLC may determine and change:
Localio may exclude or discount data it considers fraudulent, manipulated, unreliable, outdated, duplicative, ineligible, or otherwise unsuitable.
Where applicable law requires disclosure of material ranking parameters or commercial influences, Localio will provide the required disclosure.
Different Localio surfaces may use different eligibility criteria, ordering methods, data requirements, or commercial criteria. A category, search result, comparison, featured module, recommendation, or other presentation is not required to include every Business that Localio lists or that could potentially fit the relevant category or query.
No Business, user, affiliate partner, advertiser, or other person has an automatic or contractual right to:
Subject to applicable law, Localio may change eligibility, prominence, presentation, placement, methodology, and availability.
Localio may create comparisons using information from users, public sources, structured data, Businesses, Localio research, ratings, recommendation information, automated processing, or other sources.
Comparisons are provided for informational purposes.
Localio does not guarantee that every possible difference, competitor, condition, feature, limitation, data point, or consideration is included or current.
Localio may limit a comparison or comparison feature to Businesses for which Localio has information, commercial eligibility, technical integration, geographic availability, or other criteria that Localio considers appropriate, and Localio is not required to include every Business in a category or every possible competitor, subject to applicable law.
Localio may create, modify, combine, remove, or discontinue comparisons in its discretion, subject to applicable law.
Localio may identify possible alternatives to a Business.
Inclusion or exclusion of a Business as an alternative does not constitute a guarantee, endorsement, or determination that it is suitable for a particular user.
Subject to applicable law, Localio may determine alternatives using factors including:
Localio may change alternatives, their eligibility, and their ordering at any time. Subject to applicable law, Localio may limit alternative or recommendation modules to Businesses that satisfy commercial, affiliate, referral, technical, data, geographic, availability, or other eligibility criteria established by Localio. Alternatives need not include every possible competitor, every listed Business, or the Business with the highest user rating or other metric.
Localio may provide Business descriptions, introductions, FAQs, explanations, summaries, category information, editorial content, or other informational material.

Users in India must not use Localio to host, display, upload, modify, publish, transmit, store, update, or share information prohibited by applicable Indian law or legally applicable Localio policies.
Localio may remove, disable, restrict, preserve, or disclose content or information where required or permitted by applicable Indian law or a legally valid order, direction, notice, or process.
Where applicable Indian law requires Localio to appoint, identify, or publish details of a grievance officer, contact person, compliance officer, nodal contact person, resident representative, or another function, Localio will do so to the extent that requirement applies to Localio’s legal classification.
Nothing in these Terms represents that Localio is a significant social media intermediary or otherwise voluntarily accepts obligations applicable only to a category into which Localio does not legally fall.
Where an applicable grievance or appellate mechanism is legally required, Localio may provide or identify that mechanism as required by applicable Indian law.
Mandatory Indian consumer rights remain unaffected.
If the Australian Consumer Law applies to your use of the Services, nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, remedy, or liability under the Australian Consumer Law that cannot lawfully be excluded, restricted, or modified.

Except for disputes expressly excluded below or claims that applicable law does not permit to be subjected to pre-dispute arbitration, you and Legalio24 LLC agree that any dispute, claim, controversy, or cause of action arising out of or relating to:

The parties will attempt in good faith to resolve the dispute for 30 days after receipt of a sufficiently complete notice before initiating arbitration.

This informal process does not prevent either party from seeking temporary or emergency relief where waiting would materially prejudice a legally protectable right and applicable law permits such relief.
If a Covered Dispute is not resolved through Section 92, either party may initiate individual binding arbitration.
Unless the parties agree otherwise, arbitration will be administered by the American Arbitration Association (“AAA”) under its rules applicable to the dispute, including the AAA Consumer Arbitration Rules where applicable, as modified by these Terms.
If the AAA is unavailable or unwilling to administer a particular arbitration, the parties will attempt in good faith to agree upon another nationally recognized arbitration provider. If they cannot agree, a court of competent jurisdiction may appoint an arbitrator or arbitration provider consistent with the FAA.
The arbitration will be conducted before one neutral arbitrator.
The arbitrator may award any individual remedy or relief otherwise available to the individual claimant in a court of competent jurisdiction, subject to applicable law and these Terms.
Unless otherwise required by applicable law or applicable arbitration rules, arbitration may occur by telephone, videoconference, written submissions, or another reasonably convenient method.
For consumer claims, the place and method of arbitration will be determined consistently with applicable law and the applicable AAA Consumer Arbitration Rules.
For business, commercial, trade, or professional claims, arbitration may take place in Sheridan County, Wyoming, remotely, or at another location agreed by the parties, subject to applicable law and applicable arbitration rules.
For consumer arbitration, arbitration filing fees, administrative fees, arbitrator compensation, and other arbitration fees will be allocated and paid as required by applicable law and the applicable AAA Consumer Arbitration Rules.
Legalio24 LLC will pay those arbitration fees and costs that applicable law or the applicable AAA Consumer Arbitration Rules require Legalio24 LLC to pay.
Each party will otherwise bear its own attorneys’ fees, expert fees, witness costs, and other expenses, except where applicable law, applicable arbitration rules, or the arbitrator’s award permits or requires fee-shifting, reimbursement, sanctions, or another allocation of such amounts.
To the extent permitted by applicable law and applicable arbitration rules, the arbitrator may award attorneys’ fees, costs, expenses, sanctions, or reimbursement where a claim, counterclaim, defense, or proceeding is frivolous, brought or maintained in bad faith, brought for purposes of harassment, or otherwise subject to fee-shifting or sanctions.
For users acting primarily for business, commercial, trade, or professional purposes, arbitration fees and costs will be allocated under the applicable commercial arbitration rules and fee schedule, applicable law, these Terms, and any applicable arbitrator award.
The arbitrator has authority to decide issues concerning the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court of competent jurisdiction — and not the arbitrator — will decide any dispute concerning the validity or enforceability of the waiver in Section 94.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND LEGALIO24 LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION OR PROCEEDING.
Unless both parties expressly agree in writing after a dispute arises:
Nothing prevents an individual from seeking public injunctive relief in a forum where applicable law gives that individual a non-waivable right to seek such relief.
If a court of competent jurisdiction finally determines that this waiver is invalid, unenforceable, or inapplicable as to a particular claim or request for relief, then, except where applicable law grants a non-waivable right to another venue, only that claim or request for relief will proceed exclusively in:

All remaining claims that are legally capable of being arbitrated individually will remain subject to individual arbitration under Sections 91–93 to the maximum extent permitted by applicable law.

Notwithstanding Sections 91–94, either party may:
Legalio24 LLC may seek judicial relief concerning infringement, misappropriation, unauthorized access, cybersecurity attacks, scraping, circumvention, misuse of confidential information, or infringement or misuse of its intellectual property where applicable law permits such relief.
Nothing in these Terms prevents a government agency from pursuing relief within its lawful authority.
Except where mandatory law provides otherwise, these Terms and disputes arising out of or relating to them or the Services are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles.
For U.S. users, the Federal Arbitration Act governs Sections 91–95 to the maximum extent applicable.
For consumers outside Wyoming or outside the United States, this choice of law does not deprive you of mandatory protections that applicable law requires to remain available.
The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded to the extent it could otherwise apply.
For users located in the United States, any lawsuit or legal proceeding not subject to arbitration under Sections 91–95 must, except where applicable law grants a non-waivable right to another venue, be brought exclusively in:
This exclusive-venue requirement applies whether a dispute is not subject to arbitration because it falls within an exclusion under Section 95 or because a court of competent jurisdiction determines, in whole or in part, that the arbitration agreement in Sections 91–93 or the waiver in Section 94 is invalid, unenforceable, or inapplicable to the applicable dispute, claim, request for relief, or claimant.
You and Legalio24 LLC consent to the personal jurisdiction of those courts for such disputes.
If applicable law gives a user a non-waivable right to bring a particular claim in another court or venue, that right remains unaffected.
Except where applicable law provides otherwise, each party will bear its own attorneys’ fees and other legal expenses in any court proceeding arising out of or relating to these Terms or the Services.
To the maximum extent permitted by applicable law, the prevailing party in a dispute involving a user acting primarily for business, commercial, trade, or professional purposes may recover its reasonable attorneys’ fees and recoverable costs from the non-prevailing party.
Legalio24 LLC may seek attorneys’ fees, costs, sanctions, or other amounts from any party where recovery is authorized by applicable law, court rule, statute, contract, or other legal authority, including where a court determines that a claim, defense, filing, or proceeding is frivolous, vexatious, brought in bad faith, maintained for an improper purpose, or otherwise subject to sanctions or fee-shifting.
Nothing in these Terms requires Legalio24 LLC to pay another party’s attorneys’ fees, court costs, litigation expenses, or other legal expenses except to the extent such payment is required by applicable law or a binding order or judgment.
Nothing in this section limits any right of Legalio24 LLC to recover attorneys’ fees, costs, damages, sanctions, or other amounts where otherwise permitted by these Terms or applicable law.
For consumers outside the United States, Sections 91–95 do not apply unless a separate agreement expressly provides otherwise.
The Wyoming forum provision applies to international consumers only to the extent permitted by applicable law.
If mandatory law gives you a non-waivable right to bring proceedings in your country, state, province, territory, domicile, or place of residence, these Terms do not remove that right.
Nothing in these Terms voluntarily submits Legalio24 LLC to a court, regulator, authority, or jurisdiction where applicable law does not otherwise establish jurisdiction.
To the maximum extent permitted by applicable law, any claim brought by a user acting primarily for business, commercial, trade, or professional purposes must be commenced within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim.
This section does not apply where applicable law prohibits contractual shortening of the relevant limitation period.
For consumers, statutory limitation periods remain unaffected except where applicable law expressly permits otherwise.
Subject to applicable law, Legalio24 LLC may modify these Terms from time to time for legal, regulatory, operational, security, commercial, technical, product, or other legitimate reasons.
The current version will be published with an updated effective date.
Where applicable law requires advance notice, consent, renewed acceptance, or other procedures for a particular change, we will comply to the extent required.
Continued use of the Services after an effective change constitutes acceptance where applicable law permits acceptance in that manner.
Changes do not retroactively eliminate non-waivable rights.
Material changes to Sections 91–95 will be handled in accordance with applicable arbitration and contract law.

Where there is a conflict concerning the contractual relationship between you and Legalio24 LLC, these Terms govern unless another applicable document expressly states otherwise or applicable law requires otherwise.
To the extent permitted by applicable law, you may not transfer or assign your rights or obligations under these Terms without Legalio24 LLC’s prior written consent.
Legalio24 LLC may assign, delegate, novate, or transfer these Terms or any rights or obligations under them, in whole or in part, in connection with:

Where a court or competent authority is legally permitted to reform the provision, the parties intend that it be enforced in the form that:
If applicable law does not permit reformation, the affected provision or portion will be severed only to the minimum extent necessary, and the remainder of these Terms will continue in full force and effect.
No reformation or severance may eliminate or reduce a mandatory right or protection that applicable law does not permit to be waived.
For the avoidance of doubt, the arbitration-specific severability and fallback provisions in Section 94 control over this general section with respect to the class, collective, consolidated, coordinated, private-attorney-general, or representative-action waiver.
Failure or delay by Legalio24 LLC to exercise or enforce any right, power, remedy, or provision does not constitute a waiver.
A waiver in one circumstance does not constitute a waiver in another circumstance, create a continuing waiver, or prevent later enforcement.
Except where these Terms or applicable law expressly provide otherwise, the rights, powers, protections, defenses, immunities, safe harbors, and remedies available to Legalio24 LLC are cumulative and are in addition to those available under applicable law.
Exercise of one right or remedy does not prevent exercise of another.
Except where expressly stated or required by applicable law, these Terms do not create enforceable contractual rights in any person or entity that is not a party to them.
These Terms, together with policies, notices, and supplemental terms expressly incorporated into them, constitute the agreement governing your use of the Services except where separate written terms apply.
No statement, representation, or communication not expressly incorporated into these Terms creates a contractual obligation except where applicable law provides otherwise.
Mandatory rights and obligations imposed by applicable law remain unaffected.
Section headings are provided solely for convenience and organization.
They do not limit, expand, modify, or control the interpretation of these Terms.

Translations are provided for accessibility and convenience.
To the extent permitted by applicable law, the English-language version controls in the event of an inconsistency or ambiguity between language versions.
Where mandatory law requires another language version to govern, requires a particular language version to be offered or accepted, or prevents precedence being given to the English-language version, that mandatory requirement controls.
Nothing in this section is intended to waive a mandatory language right available under applicable law.
Provisions that by their nature should continue after termination of an account, termination of these Terms, or cessation of use of Localio will survive.
